Public Offer
1. General provisions
1.1. This Offer is an official public proposal by XUSH LLC, TIN 312547830, registered address: 133-a Buyuk Ipak Yoʻli street, Alpomish MFY, Tashkent, Uzbekistan, represented by Director Malika Tillayeva (the "Seller"), to enter into a retail purchase agreement with any natural person (the "Buyer") on the terms set out below.
1.2. Acceptance of this Offer — meaning full and unconditional acceptance of all its terms — is deemed to occur when the Buyer performs any of the following:
• ticks the consent box and clicks the order or "Pay" button on the Site or on the bank's payment page;
• pays for the goods in full or in part by any method set out in section 5;
• physically receives the goods and pays for them on delivery.
1.3. Proceeding to the "Pay" action is possible only on condition that the Buyer has first read and accepted the terms of this Offer.
1.4. Please read this Offer carefully. If you disagree with any of its provisions, the Seller invites you not to place an order.
2. Definitions
2.1. Offer — the text of this document, published at xush.co.uz/offer.
2.2. Site — the Seller's online store at xush.co.uz, together with the Seller's official pages and channels on social networks and messaging applications.
2.3. Buyer — a legally capable natural person aged 18 or over, placing an order on the Site exclusively for personal, family or household needs unrelated to business activity.
2.4. Goods — homeware, tableware, home textiles, decor, kitchen products, lighting and other items presented on the Site.
2.5. Order — a request submitted by the Buyer to purchase selected Goods.
2.6. Bank — JSC "Oktobank", which processes bank card payments (internet acquiring) in favour of the Seller.
3. Subject of the agreement
3.1. The Seller undertakes to transfer ownership of the Goods to the Buyer, and the Buyer undertakes to accept and pay for the Goods on the terms of this Offer.
3.2. The name, assortment, quantity, price and characteristics of the Goods are determined by the Buyer when placing the Order.
3.3. All prices on the Site are stated in the national currency of the Republic of Uzbekistan — soum (UZS) — and include taxes established by Uzbek law. The final amount payable is shown to the Buyer before the payment is confirmed.
3.4. The Seller may change prices unilaterally. The price in effect at the moment the Order is placed is not subject to change.
3.5. Product images on the Site are illustrative. Minor differences in shade or texture are possible due to the Buyer's screen settings and production batch variation.
4. Placing an order
4.1. An Order may be placed in either of the following ways:
• directly on the Site at xush.co.uz, by adding Goods to the cart and completing the order form;
• through an operator — by phone at +998 77 789-05-05 or +998 77 201-05-05, on Telegram (@xush_co), or through the Seller's other official channels.
4.2. When placing an Order the Buyer provides accurate information required to perform the agreement: name, contact phone number, email address and delivery address. The Buyer is responsible for the accuracy and completeness of this information.
4.3. After the Order is placed the Seller sends a confirmation to the email address provided and/or contacts the Buyer on the phone number provided to confirm order details, stock availability and delivery terms.
4.4. The agreement is concluded at the moment the Buyer accepts the Offer as described in clause 1.2.
4.5. The Seller may decline to fulfil an Order if the Goods are out of stock, if the Buyer has provided inaccurate information, or if the Buyer cannot be reached. In such cases any amount paid is refunded in full as set out in section 7.
5. Ordering and payment methods
5.1. Payment is made by one of the following methods at the Buyer's choice:
• online by bank card — Uzcard, Humo, Visa or Mastercard, through the internet acquiring system of JSC "Oktobank". Payment takes place on the Bank's secure payment page;
• by bank transfer to the Seller's details set out in section 12;
• in cash or by bank card on receipt of the Goods — to the courier or at the pickup point.
5.2. The Buyer's payment obligation is deemed fulfilled once funds are credited to the Seller's account, or once the Bank confirms that the card payment has succeeded.
5.3. When paying by card the Buyer must use a card issued in their own name. The Seller may request documents confirming that the card belongs to the Buyer.
5.4. All settlements under the agreement are made in soum (UZS).
5.5. A receipt or other proof of payment is provided to the Buyer when the Goods are handed over, or sent electronically.
6. Delivery
6.1. The Seller delivers Goods throughout the Republic of Uzbekistan.
6.2. The delivery fee is 25 000 UZS. Orders of 500 000 UZS or more are delivered free of charge.
6.3. Indicative delivery times:
• Tashkent city and Tashkent region — 1–2 business days from Order confirmation;
• other regions of Uzbekistan — 2–5 business days from Order confirmation.
6.4. Delivery times are indicative and may change due to circumstances beyond the Seller's control (weather, courier service load, the Buyer being absent at the stated address). The Seller will notify the Buyer of any change.
6.5. On receipt, the Buyer is advised to check the completeness, appearance and integrity of the packaging in the presence of the courier.
6.6. The risk of accidental loss or damage passes to the Buyer once the Goods are handed over.
6.7. Detailed delivery terms are published on the Delivery & payment page and form an integral part of this Offer.
7. Returns and refunds
7.1. The Buyer may return Goods of proper quality within 2 (two) days of receipt, provided the Goods have not been used, their presentation, consumer properties and original packaging are intact, and proof of purchase or the Order number is available.
7.2. Goods of proper quality included in the list established by Uzbek law are not subject to return or exchange, including food products, perfumery and cosmetics, and personal hygiene items.
7.3. If a defect (manufacturing fault) is found, the Buyer may, within 2 (two) days of receipt, request replacement or a refund. Warranty periods for particular categories are set out on the Return policy page.
7.4. To arrange a return, the Buyer should contact the Seller by phone at +998 77 789-05-05, on Telegram (@xush_co) or by email at info@xush.co.uz, stating the Order number, the item, the reason for return and the payment method used.
7.5. Refunds of amounts paid by bank card are made by reversing the card transaction — in full or in part — exclusively to the same bank card used for payment. Amounts paid by card are not refunded in cash.
7.6. The Seller reviews the request and initiates the refund within 3 (three) business days of receiving the request and the returned Goods. Crediting the funds to the Buyer's card takes between 3 and 15 banking days from initiation, depending on the issuing bank and payment system rules.
7.7. The delivery fee is non-refundable, except where Goods are returned as defective or where the Seller made an error in fulfilling the Order.
7.8. The Buyer may cancel an Order at any time before it is handed to the courier service. In that case the amount paid is refunded in full as set out in clauses 7.5 and 7.6.
8. Bank card transaction security
8.1. Bank card payments are accepted and processed by JSC "Oktobank" on the Bank's secure payment page over a secure connection (HTTPS/TLS), in accordance with international payment system requirements and the PCI DSS payment card industry security standard.
8.2. The Seller's Site does not request, accept, store, process or transmit the Buyer's card details — card number, expiry date, CVV/CVC code or confirmation codes. Card details are entered by the Buyer exclusively on the Bank's payment page.
8.3. Additional cardholder authentication uses 3-D Secure and one-time code (SMS) confirmation, where supported by the issuing bank.
8.4. The Site operates over the secure HTTPS protocol with a valid SSL certificate.
8.5. The Seller recommends that the Buyer: use only their own bank card; never disclose card details or confirmation codes to third parties; and contact the issuing bank immediately if unauthorised card use is suspected.
9. Privacy and personal data
9.1. The Buyer's personal data is processed in accordance with the personal data legislation of the Republic of Uzbekistan and the Seller's Privacy policy, published at xush.co.uz/privacy and forming an integral part of this Offer.
9.2. By accepting this Offer the Buyer consents to the processing of their personal data for the purpose of concluding and performing the agreement, including placing and confirming the Order, arranging delivery, settling payments (including transferring the data necessary to the Bank to process the payment and any refund) and complying with legal requirements.
9.3. The Seller does not transfer the Buyer's personal data to third parties, except where necessary to perform the agreement (the Bank, courier services) and where required by Uzbek law.
10. Rights and obligations of the parties
10.1. The Buyer may: place Orders on the terms of this Offer; receive full and accurate information about the Goods; choose among the payment and delivery methods offered by the Seller; cancel an Order and claim a refund under section 7.
10.2. The Buyer must: read this Offer before placing an Order; provide accurate information; accept and pay for the Goods; and use a card belonging to them when paying by card.
10.3. The Seller may: engage third parties (including the Bank and courier services) to perform the agreement; change the assortment and prices; and decline to fulfil an Order in the cases set out in clause 4.5.
10.4. The Seller must: provide full information about the Goods; deliver Goods of proper quality within the agreed period; accept payment; and keep the Buyer's data confidential.
11. Liability and miscellaneous
11.1. The parties are liable for non-performance or improper performance of their obligations in accordance with the legislation of the Republic of Uzbekistan.
11.2. The Seller is not liable for damage arising from inaccurate information provided by the Buyer, nor for the quality of communication channels used by the Buyer.
11.3. The Seller is not liable for breach of the agreement caused by force majeure, including acts of state authorities, fire, epidemics, natural disasters, power failure, computer network failures and other circumstances beyond its control.
11.4. The Seller's liability is limited to direct actual damage within the value of the paid Order.
11.5. Disputes are resolved through the claims procedure. Failing agreement, disputes are subject to court proceedings under the legislation of the Republic of Uzbekistan.
11.6. If a court finds any provision of this Offer invalid, the remaining provisions remain in force.
11.7. The Offer takes effect when published on the Site and remains in force until withdrawn by the Seller. The Seller may amend the Offer. Placing an Order after an amendment constitutes the Buyer's agreement to the new version.
